Terms and Conditions
	To be an authorized affiliate of HtruO you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the HtruO.com service as an affiliate. By signing up for the HtruO.com affiliate program, you indicate your acceptance of this agreement and its terms and conditions. The person named in this agreement (hereinafter called Affiliate) agrees to use his/her best efforts to promote the sale of ReAqua LLC, a Connecticut Limited Liability Company, doing business as HtruO (hereinafter called HTRUO) products in a manner favorable to the Affiliate and HTRUO. Affiliate serves as an independent contractor and as such is responsible for its own business; therefore, Affiliate will pay all costs of marketing and distributing HTRUO products and agrees to hold HTRUO harmless from all costs. An Affiliate neither has to make a financial investment nor maintain an inventory. Affiliates must be 18 years of age or older. HtruO® is a trademarked name and may not be used by Independent Affiliates for any purpose without prior written consent of HTRUO. All sales aids, brochures, literature, etc. are the property of HTRUO and cannot be reproduced without prior written consent of HTRUO. All proposed promotions or advertisements must include only official HtruO claims, logos,trademarks, etc. as shown in the official HTRUO literature and sales aids. Affiliates must submit proposed advertising and promotional materials to HtruO for prior approval. An Affiliate may be terminated by HTRUO immediately if Affiliate's actions discredit HTRUO or violate these terms and conditions, or if Affiliate makes claims contrary to HTRUO's literature or labels, or for other good cause. Affiliates accepted by HTRUO agree to comply with all governmental laws and regulations including Federal, State, County, and Municipal codes and regulations. Affiliates may sell HtruO products to be shipped anywhere within the United States but may not sell to other countries. Affiliates will represent HtruO products completely and honestly without exaggeration to all potential customers. Affiliates will not engage in deceptive or unlawful consumer practices nor make fraudulent claims about HtruO, its products or its programs. Affiliates can create personalized HtruO web pages subject to certain terms and conditions. Affiliates may use HtruO's trade names, trademark, logos, and copyrighted material in connection with Affiliate's personalized HtruO web page in compliance with all of HtruO's rules. An Affiliate may have a web site not affiliated with HtruO's corporate site; however, use of the HtruO® name, logo, photos, product codes, etc. requires written approval from HtruO. HtruO® in any form may not be used by an independent Affiliate as a key word or meta tag in connection with any internet service. It is acknowledged that Affiliate is not required to install the HtruO Whole House Water Filtration Systems they sell. However, should Affiliate choose to install units, they are solely responsible for their own installations and agree to hold HTRUO harmless from all costs. HTRUO shall not incur any obligation or liability for damages, including consequential damages, arising out of or in connection with installations of HtruO Whole House Water Filtration Systems by Affiliate. Affiliate will be paid a commission of 20% on all HtruO products sold, including replacement cartridges, provided, however, it is understood by Affiliate that no commissions will be paid on installation charges, applicable taxes or shipping costs. Such commission payments shall be made at the end of each month based on the sales of HtruO products from the previous month. The price of all returns, plus shipping costs, of HtruO products will be charged to Affiliate and debited monthly, and may be set off against commissions earned. All commission calculations will be made by HtruO and will be final. HtruO reserves the right to modify commission terms at any time. Affiliate acknowledges that it is an independent contractor. Prior to any payment being made to Affiliate will provide HtruO with a completed and signed Internal Revenue Service W9 Form through the US Mail. All official notifications, including modifications or any changes to this Agreement may be sent to the Affiliate by email, or published on the web site in lieu of regular mail. This agreement shall be governed by and construed in accordance with the laws of the State of Connecticut.
